Welcome to BioSyncNow. These Terms of Service (the "Terms") govern your access to and use of the BioSyncNow platform, including our website at biosyncnow.com, our mobile and web applications, and all related features, tools, and services (collectively, "the Platform"). By creating an account, accessing, or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform.

Please read these Terms carefully. They include important information about your legal rights, the informational nature of BioSyncNow, and the limitations that apply to AI-generated wellness insights.

1. Platform Description

BioSyncNow is an AI-powered wellness and health-optimization platform for humans, operated by Native Distribution LLC. The Platform provides AI-assisted, informational wellness insights to help you observe, understand, and document your health and wellness journey, drawing on inputs such as your wellness profile, wearable and device data, nutrition information, recovery metrics, fitness activity, and body-composition analysis.

BioSyncNow is an informational wellness platform only. It does not provide medical diagnosis, treatment, or medical advice. BioSyncNow is not a medical provider and does not replace physicians or licensed healthcare professionals. The insights, scores, and recommendations generated by the Platform are intended for educational and general wellness purposes, and you should always consult a qualified healthcare professional for any medical concerns. You remain solely responsible for your own healthcare decisions.

2. Eligibility

You must be at least 18 years of age to use the Platform. By accessing or using BioSyncNow, you represent and warrant that you are 18 years of age or older and that you have the legal capacity to enter into these Terms. If you do not meet this requirement, you must not access or use the Platform. We reserve the right to request verification of age and to suspend or terminate any account that does not satisfy this eligibility requirement.

3. Account Responsibility

You are responsible for maintaining the confidentiality of your account credentials, including your username and password, and for all activity that occurs under your account. You agree to provide accurate, current, and complete information when creating your account and wellness profile, and to keep that information up to date.

You must notify us immediately at info@biosyncnow.com of any unauthorized access to or use of your account, or any other breach of security. Native Distribution LLC is not liable for any loss or damage arising from your failure to safeguard your credentials or from unauthorized use of your account.

4. Compatible Device and Internet Requirements

Use of BioSyncNow requires a compatible device and a stable internet connection. Certain features, including wearable and device integrations and real-time wellness analysis, may require specific hardware, operating system versions, or connected accounts to function properly.

Carrier data charges and internet service fees may apply. Native Distribution LLC is not responsible for any charges incurred through your mobile carrier, internet provider, or connected device or service provider. You are solely responsible for ensuring that your device and connection meet the technical requirements necessary to access the Platform.

5. AI-Generated Wellness Insights Disclaimer

BioSyncNow uses artificial intelligence to generate wellness reports, health scores, recovery and fitness insights, nutrition guidance, and other recommendations. All AI-generated outputs are informational and educational only. They are not medical diagnoses, treatment plans, or professional medical advice, and they do not establish any provider-patient relationship.

You acknowledge and agree to the following:

AI outputs may contain inaccuracies, errors, or omissions. AI models produce probabilistic results and may misinterpret inputs, wearable data, or images, and should never be relied upon as a substitute for professional medical judgment.
BioSyncNow does not replace physicians or licensed healthcare professionals. Always consult a qualified healthcare professional, physician, or licensed healthcare provider for any medical concern, symptom, condition, or before making changes to your diet, supplementation, exercise, or treatment.
Do not delay seeking professional medical care because of anything you read, see, or receive on BioSyncNow. The Platform provides educational and wellness guidance only, and you remain responsible for your own healthcare decisions.
In an emergency, call 911 or your local emergency number, or go to the nearest emergency room immediately. Do not use BioSyncNow to attempt to address a medical emergency.

By using the Platform, you understand and accept that BioSyncNow is not a medical provider and that any decisions you make based on AI-generated wellness insights are made at your own discretion and risk.

6. Third-Party Marketplace Services

BioSyncNow may include links to, or integrations with, third-party marketplaces, products, content, or services, including nutrition, supplementation, fitness, and wellness offerings. These third-party services are provided for your convenience only.

Native Distribution LLC does not control, endorse, or assume responsibility for the content, products, services, pricing, or practices of any third party. Your interactions with, and any purchases from, third parties are governed solely by the terms and policies of those third parties, and are at your own risk. Native Distribution LLC is not responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of, or reliance on, any third-party content, products, or services.

7. Wearable & Device Integrations

BioSyncNow may integrate with third-party wearable devices, health platforms, and connected devices, including but not limited to Oura Ring, WHOOP, Apple Watch, Garmin, Fitbit, Google Fit, smart scales, and sleep trackers, to import metrics such as activity, sleep, recovery, heart rate, and body composition.

Use of these integrations is subject to the terms, conditions, and privacy policies of the respective device, wearable, or service provider. You are responsible for maintaining any accounts required for these integrations and for the accuracy of the data they provide. Native Distribution LLC is not affiliated with, sponsored by, or endorsed by any wearable, device, or platform manufacturer or provider, and the availability, accuracy, and continuity of any integration may change or be discontinued at any time without notice.

8. User Content Submission

By submitting images, videos, wellness data, meal or food photos for analysis, body-composition or wellness scans, health metrics, or other content to BioSyncNow ("User Content"), you represent and warrant that you have the right to submit such content and that doing so does not violate any law or the rights of any third party.

You grant Native Distribution LLC a non-exclusive, worldwide, royalty-free license to host, store, process, analyze, reproduce, and use your User Content for the purpose of providing, maintaining, and improving the Platform and its services, including the training and refinement of AI models where permitted by our Privacy Policy. You retain ownership of your User Content, subject to the license granted herein.

9. License for Platform Use

Native Distribution LLC grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal, non-commercial wellness purposes, in accordance with these Terms. This license does not permit you to resell, redistribute, sublicense, or otherwise commercially exploit the Platform or any of its content.

All rights not expressly granted to you under these Terms are reserved by Native Distribution LLC. Any use of the Platform beyond the scope of this license is strictly prohibited and may result in the suspension or termination of your account.

10. Feedback

Any feedback, suggestions, ideas, or other input you submit to Native Distribution LLC regarding the Platform ("Feedback") may be used by us for any purpose without any obligation, restriction, or compensation to you, unless otherwise agreed in writing. You grant Native Distribution LLC a perpetual, irrevocable, worldwide, royalty-free license to use, incorporate, and exploit such Feedback in connection with the Platform and our business, without attribution or liability.

11. Prohibited Uses

You agree not to engage in, and not to permit or encourage any third party to engage in, any of the following prohibited activities:

Scraping, crawling, reverse engineering, decompiling, or disassembling the Platform or any of its components;
Building competing products or services using the Platform, its data, its AI models, or its outputs;
Unauthorized commercial resale, redistribution, or exploitation of Platform content, insights, or features;
Submitting false, misleading, fraudulent, or harmful content;
Uploading malware, viruses, or any code designed to disrupt or interfere with the Platform;
Attempting to gain unauthorized access to any accounts, systems, or networks associated with BioSyncNow;
Using the Platform in any manner that violates any applicable law, regulation, or these Terms.

We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates this section, including removing content, suspending or terminating accounts, and reporting activity to law enforcement authorities.

12. Intellectual Property

All Platform content, software, AI models, algorithms, health-scoring methodologies, trademarks, logos, designs, and underlying technology are owned by or licensed to Native Distribution LLC and are protected by applicable intellectual property and proprietary rights laws. No rights, title, or interest are granted to you beyond the limited license expressly described in these Terms.

You may not use, copy, modify, distribute, or create derivative works from any BioSyncNow intellectual property without the prior written consent of Native Distribution LLC.

13. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, NATIVE DISTRIBUTION LLC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

NATIVE DISTRIBUTION LLC DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT ANY AI-GENERATED WELLNESS INSIGHTS, SCORES, OR RECOMMENDATIONS WILL BE ACCURATE, COMPLETE, OR RELIABLE. THE PLATFORM IS NOT A MEDICAL PROVIDER AND DOES NOT PROVIDE MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT, AND NO INFORMATION OBTAINED FROM THE PLATFORM SHOULD BE RELIED UPON AS A SUBSTITUTE FOR PROFESSIONAL MEDICAL CARE.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NATIVE DISTRIBUTION LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE PLATFORM.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF NATIVE DISTRIBUTION LLC ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE AMOUNT YOU PAID, IF ANY, TO NATIVE DISTRIBUTION LLC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. YOU EXPRESSLY ACKNOWLEDGE THAT YOU ASSUME ALL RISK ARISING FROM YOUR RELIANCE ON ANY AI-GENERATED WELLNESS INSIGHTS AND YOUR OWN HEALTHCARE DECISIONS.

15. Indemnification

You agree to indemnify, defend, and hold harmless Native Distribution LLC and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Platform, your User Content, your violation of these Terms, or your violation of any applicable law or the rights of any third party.

16. Account Suspension and Termination

Native Distribution LLC reserves the right, at its sole discretion, to suspend, restrict, or terminate your account and access to the Platform at any time, with or without notice, if you violate these Terms, engage in harmful, fraudulent, or unlawful conduct, or for any other reason we deem appropriate to protect the Platform or its users.

Upon termination, your right to access and use the Platform will immediately cease. Sections of these Terms that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — will survive.

17. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law principles. You agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform shall be resolved exclusively in the state or federal courts located in Colorado, and you consent to the personal jurisdiction and venue of such courts.

18. Changes to Terms

Native Distribution LLC may update or modify these Terms at any time. When we make material changes, we will notify users via email or through a notice on the Platform. The "Last Updated" date at the top of these Terms reflects the most recent revision. Your continued use of the Platform after any changes take effect constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must discontinue use of the Platform.
